Last updated 8 September 2026. Services are provided by Muhammad Usama Yousuf, trading as an independent sole proprietor based in Islamabad, Pakistan. In these terms, "we" and "I" mean Muhammad Usama Yousuf, and "you" means the client engaging the services.
1. Business identity
Muhammad Usama Yousuf is an independent freelance marketplace brand manager operating as a sole proprietor from Islamabad, Pakistan. There is no parent company, agency, or reseller relationship behind the engagement, and no work is subcontracted without your written approval. Full registration and address details are provided on request and are included in every signed agreement and invoice.
2. Services
Services are those set out in writing before work starts: advertising optimization, listing and catalog management, account management, compliance documentation, storefront design, reporting, and the project work described on this website. Anything not written into the agreed scope is out of scope until both parties confirm an addition in writing.
3. Quotes, fees, and payment
- All pricing is quote-based and confirmed in writing before any work starts. Quotes depend on catalog size, monthly ad spend, and the number of marketplaces in scope.
- There are no setup fees and no charge for the initial audit conversation.
- Retainers are invoiced monthly in advance; project work is invoiced against the milestones named in the agreement. Payment is due within seven days of invoice unless the agreement says otherwise.
- Marketplace advertising spend, platform fees, software subscriptions, and sample or shipping costs are paid by you directly and are never included in the fee.
4. Account access and your responsibilities
- You create a secondary user or sub-account for me with the minimum permissions the work requires. I never ask for or use your primary login credentials, and you can change or remove access at any time.
- You are responsible for the accuracy of the product, cost, compliance, and inventory information you supply, and for holding the rights to any brand assets, images, and copy you provide.
- You remain the account owner and the seller of record. Final approval of anything published to a marketplace rests with you.
5. Deliverables and ownership
On payment, you own the deliverables produced for you: bulk files, flat files, audits, forecasts, listing copy, storefront specifications, compliance documents, and reports. I retain ownership of the underlying templates, calculators, dashboards, and internal tooling used to produce them, and of any general knowledge or method developed in the course of the work.
6. Confidentiality
Account data, costs, margins, supplier information, and strategy shared during an engagement are treated as confidential and are not disclosed to anyone else. Client names and results are never published, listed, or used as a reference without written permission. Confidentiality continues after the engagement ends.
7. Marketplace rules and compliance
All work is performed within the published policies of the marketplace concerned, including Amazon's Acceptable Use Policy and Data Protection Policy for solution providers. No review manipulation, incentivised reviews, ranking manipulation, competitor sabotage, multiple-account evasion, or misuse of buyer data is performed under any circumstances, including at client request. A request of that kind ends the engagement.
8. No guarantee of results
Marketplace performance depends on price, product, competition, inventory, and platform decisions outside my control. Past results described on this website are historical outcomes for specific accounts and are not a promise, projection, or guarantee of the results your account will achieve. No ranking, revenue, ROAS, or approval outcome is guaranteed.
9. Independent contractor status
The engagement is a contract for services between independent parties. It creates no employment, partnership, agency, or joint venture, and it does not make either party a representative of the other. I am not affiliated with, sponsored by, or endorsed by Amazon, TikTok, or Walmart, and I do not act on their behalf.
10. Term, pause, and termination
Retainers run month to month. Either party may end the engagement with 14 days' written notice, and fees for work already performed remain payable. On termination I hand over deliverables and working files in progress, you remove my account access, and working files are deleted as described in the privacy policy.
11. Liability
To the extent permitted by law, total liability for any claim arising from the services is limited to the fees paid for the month in which the claim arose, and neither party is liable for indirect or consequential loss, including lost profit or lost account privileges. Nothing in these terms limits liability for fraud or wilful misconduct.
12. Governing law
These terms are governed by the laws of Pakistan, and the courts of Islamabad have jurisdiction, unless a signed agreement names a different governing law and venue.
13. Changes
These terms may be updated, and the date at the top shows the current version. The terms in force are those attached to your signed agreement; material changes are communicated to active clients by email.
